Mark P. Cawley
Mark Cawley joined Guzov Ofsink, LLC in 2007. His practice areas include corporate and securities and mergers and acquisitions. Prior to joining us, Mark practiced at a number of leading law firms in New York City and at the Silicon Valley office of a leading global law firm.
Mark has focused on a wide variety of corporate, finance and securities law matters, including reverse mergers and PIPEs involving Chinese based operating companies, mergers and acquisitions (of both public and private companies), public offerings (representing both issuers and underwriters), venture capital investments (representing companies and funds), as well as public company reporting, corporate governance and other general corporate matters.
Mark’s experience includes the representation of:
- Chinese companies in reverse mergers and PIPE financings;
- a major U.S. investment bank as a lead manager of a follow-on public offering of $192,000,000 by an internet software security company;
- a lead manager of a $512,000,000 144A offering of convertible notes of a semiconductor company;
- a leading networking company in its $200,000 million 144A offering of convertible notes;
- a publicly traded Texas based oil and gas company in its acquisition by another Texas based publicly traded oil and gas company.
